Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ratlabs.io (the “Site”) operated by Rat Labs LLC (“Rat Labs,” “we,” “us”). By using the Site you agree to these Terms. If you do not agree, do not use the Site.

Paid product engineering work is governed by a separate statement of work, master services agreement, or other written engagement (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement controls for that engagement.

Who We Are

Rat Labs LLC is a digital product engineering firm. We design, build, modernize, and sustain software platforms and products, including AI-enabled delivery, platform engineering, DevOps and SRE, and quality engineering. The Site describes our services and products; it is not a binding offer until both parties sign an Agreement.

Use of the Site

You may use the Site for lawful purposes only. You agree not to:

• Probe, scan, or test the vulnerability of the Site or related systems without authorization
• Interfere with or disrupt the Site, including via malware, overload, or automated scraping that degrades service
• Misrepresent your identity or affiliation when contacting us
• Use Site content in a way that infringes our or others’ intellectual property rights, except for fair use or rights we expressly grant

Intellectual Property

The Site’s design, copy, logos, and other materials are owned by Rat Labs LLC or its licensors unless otherwise noted. You may not copy, modify, distribute, or create derivative works from Site content without our prior written consent, except as needed to view the Site in a standard browser.

Product names such as Llenguapp, Jinnify, and EarlyProof may be trademarks of their respective owners. Client work product ownership is defined in the relevant Agreement.

Inquiries and Proposals

Contacting us via email or forms does not create a client relationship. Proposals, estimates, and timelines are informational until incorporated into a signed Agreement. We may decline work at our discretion.

Engagements

Unless an Agreement says otherwise:

• Scope: Work is limited to the written scope. Changes require mutual written agreement (including email where the Agreement allows).
• Fees and payment: Fees, expenses, and payment schedules are set in the Agreement. Late amounts may accrue interest or pause work as stated there.
• Client responsibilities: Timely access, decisions, materials, and environments you control are required for delivery.
• Confidentiality: Each party protects the other’s non-public information as set out in the Agreement or a mutual NDA.

No Professional Advice via the Site

Content on the Site is for general information. It is not legal, financial, security, or other professional advice, and it is not a substitute for a tailored engagement.

Third-Party Sites and Products

The Site may link to third-party sites or products we build or operate under separate brands. Those properties have their own terms and privacy policies. We are not responsible for third-party content or practices outside our direct control.

Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAT LABS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAT LABS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM SITE USE IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US FOR SITE-RELATED SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

Liability for paid engagements is governed exclusively by the applicable Agreement.

Indemnity

You agree to indemnify and hold harmless Rat Labs LLC from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or violation of these Terms.

Privacy

Our collection and use of personal information is described in our Privacy Policy.

Changes

We may update these Terms by posting a revised version on this page and updating the date above. Continued use of the Site after changes constitutes acceptance. Material changes to active paid engagements require agreement under that contract, not only this page.

Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your residence require otherwise. Courts in Delaware have exclusive jurisdiction over disputes arising from these Terms or the Site, unless mandatory law provides otherwise.
